SEC-DAVAO: Deadline of AFS submission extended anew

DAVAO CITY --- The Securities and Exchange Commission - Davao Extension Office (SEC-DEO) will be adopting the number coding schedule stated in SEC Memorandum Circular No. 18, Series of 2020 in the filing of Annual Financial Statements (AFS) for corporations with fiscal year ending on November 30, 2019 and December 31, 2019.

The number coding schedule will be dependent on the last numerical digit of the corporation's SEC registration number, as follows:

June 29, 30 ; July 1, 2, 3, 6, 7, 8, 9, 10 : 1 and 2

July 13, 14, 15, 16, 17 : 3 and 4

July 20, 21, 22, 23, 24 : 5 and 6

July 27, 28, 29, 30 : 7 and 8

August 3, 4, 5, 6, 7 : 9 and 0

Late filings shall be accepted starting August 10, 2020 and shall be subject to the prescribed penalties which shall be computed from the date of the last day of filing schedule.

The coding schedule does not apply to publicly listed companies, issuers of registered securities, investment companies, issuers of proprietary and non-proprietary shares/ timeshares and public companies, which shall file their 2019 financial statements by June 30.

Those who are required to file Annual Reports with fiscal year end 31 December 2019 or on dates other than December 31, 2019, shall file their AFS/Annual Report, subject to the filing deadlines as stated in Memorandum Circular Nos. 5 and 17, series of 2020.

Filing of reports thru email and submission of hard copies thru dropbox or thru courier

To provide adequate protection to its clients and frontline service personnel from undue exposure to the risk of COVID-19, SEC-DEO is giving companies options to send their reports either thru courier or to use the dropbox placed at the entrance of its office.

All reports shall be delivered to the SEC-DEO located at the 2F, SDC Building, Purok 13, Maa Road, Davao City.

The date of mailing of reports thru the Philippine Postal Office, as shown by the registry receipt, shall be considered as the reckoning date of submission. For reports submitted thru the filer's courier of choice, the reckoning date of submission will be the date of mailing.

Meanwhile, the reckoning date of reports handed in at the SEC-DEO dropbox will serve as the date of submission.

The SEC-DEO will also allow the filing of the AFS through electronic mail (email) at reports_deo@sec.gov.ph prior to the submission of the hard copies to the extension office.

Pursuant to SEC Memorandum Circular No. 9, Series of 2020, corporations will have 30 days from the lifting of the declaration of public health emergency to file the printed copies

For reports filed through email, the date of receipt shall be the date stated in the Acknowledgment Confirmation, which filers shall attach to the hard copies of their reports.

The SEC would adjust either the deadlines or the procedures for the submission of reportorial requirements to help corporations cope with the impact of what has since become a pandemic. (Leslie Francisco, SEC-Davao Extension Office)
